Terms of Service

The Pass is currently operated as a sole proprietorship registered in the Province of Ontario, Canada, under the trade name "The Pass." This is an early-stage product — read the section on Service Availability below before relying on it for anything business-critical.

1. Acceptance of these terms

By creating an account, signing up a restaurant, or using The Pass in any way ("the Service"), you agree to these Terms of Service. If you're signing up on behalf of a restaurant or business, you're confirming you have the authority to bind that business to these terms.

2. What The Pass is

The Pass is a shared dashboard for restaurant teams — recipes, prep lists, orders, bar inventory, AI-powered invoice and order scanning, recipe costing, and staff management, scoped to your restaurant. Each restaurant that signs up gets its own private workspace inside the same shared platform.

3. Your account & your restaurant's data

You're responsible for keeping your login credentials secure and for anything that happens under your account. If you invite staff, you're responsible for their access — you can revoke it at any time from the Staff tab.

Your restaurant's recipes, prep lists, invoices, and other content belong to you, not to The Pass. We don't claim ownership over anything you enter or upload. You're responsible for having the right to upload whatever you upload (e.g. a recipe you didn't personally write).

4. AI-generated content — please verify it

The Pass uses AI (via Anthropic's Claude models) to read invoice photos, order confirmations, and recipe documents and turn them into structured data. AI extraction is not perfect. Always review scanned invoice amounts, extracted recipe ingredients/allergens, and any other AI-generated content before relying on it — this matters especially for allergen information and financial totals. The Pass is not liable for decisions made based on unreviewed AI-extracted data.

5. Fees & payment

The Pass is a paid service. Current pricing is posted on our homepage. Because we're early-stage, billing is currently set up directly between you and us rather than through automatic card charges — we'll agree on billing terms with you individually when you sign up. We'll give reasonable notice before any price change affects your account.

6. Acceptable use

Don't use The Pass to store or transmit anything illegal, to attempt to access another restaurant's data, to interfere with the Service's operation, or to reverse-engineer or resell the Service without our agreement.

7. Service availability

The Pass is an early-stage product built and maintained by a very small team. We aim for high reliability but don't guarantee uninterrupted uptime, and we recommend keeping your own backup of anything truly critical (e.g. exporting or noting down key recipes) until the product has a longer track record. We'll do our best to give notice before planned downtime or major changes.

8. Termination

You can stop using The Pass and close your account at any time by contacting us. We may suspend or terminate accounts that violate these terms, don't pay for the Service, or pose a security risk to other restaurants on the platform. If your account is closed, we'll give you a reasonable window to export your data before deletion.

9. Disclaimer of warranties

The Service is provided "as is." We don't warrant that it will be error-free, uninterrupted, or fit for any particular purpose beyond what's described here.

10. Limitation of liability

To the maximum extent permitted by law, The Pass's total liability for any claim relating to the Service is limited to the amount you paid us in the three months before the claim arose. We're not liable for indirect, incidental, or consequential damages (e.g. lost profits from a menu costing error).

11. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles.

12. Changes to these terms

We may update these terms as the product grows. We'll post the updated version here with a new "last updated" date; continued use of The Pass after a change means you accept the update.
